1. Agreement to Terms

By accessing or using the services provided by Black Aether LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

Black Aether provides technology consulting, software development, and related professional services, including but not limited to:

• Product management and strategy
• Data and artificial intelligence solutions

3. Use of Services

3.1 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Infringe upon the rights of others
• Transmit any malicious code, viruses, or harmful materials
• Attempt to gain unauthorized access to our systems or services
• Interfere with or disrupt the integrity or performance of our services

3.2 Account Responsibilities

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by Black Aether or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Intellectual Property

Unless otherwise agreed in writing, all work product, code, and deliverables created specifically for you under a service agreement will be owned by you, subject to our retention of rights to use general knowledge, skills, and experience gained in providing the services.

5. Service Agreements

Specific services will be governed by separate written agreements ("Service Agreements") that will detail the scope of work, deliverables, timelines, fees, and other terms specific to those services. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement will control.

6. Payment Terms

Payment terms will be specified in your Service Agreement. Unless otherwise agreed, invoices are due within the timeframe specified in the invoice. Late payments may be subject to interest charges and may result in suspension of services.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of providing services, in accordance with applicable confidentiality agreements or as required by law.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties, if any, will be set forth in your Service Agreement.

8.2 Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS OR A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACK AETHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Black Aether and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of our services or violation of these Terms.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use our services will cease immediately. Termination provisions specific to service engagements will be set forth in your Service Agreement.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Black Aether operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through good faith negotiation, and if necessary, through binding arbitration or in the appropriate courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
